By registering for the free 30-day trial of the ST&R-TAP service, I the subscriber agree to the following:

USE OF LICENSED SERVICES. The Licensed Services are for use only by Subscribers and Users and only for purposes of investigating international trade matters, economic conditions and trade legislation. Subscriber shall not use the Licensed Services for any other purposes not contemplated by this Agreement. Subscriber June print information provided through Licensed Services for its personal use, and shall ensure that any copyright, trademark or other proprietary rights notices are included on those copies. Subscriber shall not distribute any copies of information provided through the Licensed Services except to its employees. Neither Subscriber nor its employees shall disassemble, or reverse engineer the database in which information related to the Licensed Services is stored. During the term of this Agreement, Subscriber June provide access to the Licensed Services to the Users, subject to the following restrictions: (1) Subscriber is not authorized and shall not authorize Users to provide access to third parties; and (2) Subscriber shall use its best efforts to inform each User that it is subject to, and must comply with the conditions and restrictions in this Agreement. ST&R shall provide to Subscriber user IDs and passwords or other secured means to access the Licensed Services. Subscriber shall maintain the confidentiality of any user IDs and passwords. If there is a breach of security through Subscriber's account, then Subscriber shall immediately change or caused to be changed any affected password. If Subscriber fails to take such action, ST&R June immediately cease to provide the Licensed Services without further notice or obligation to the Subscriber. Further, Subscriber will be liable for all damages resulting from any unauthorized access to the Licensed Services until Subscriber notifies ST&R that such unauthorized access is occurring.

OWNERSHIP OF INTELLECTUAL PROPERTY. Subscriber shall not gain any ownership interest or any other rights or interests in or to any of the intellectual property or proprietary information of ST&R or any related parties, by reason of this Agreement or the transactions contemplated hereunder. All discoveries, ideas, concepts, compilations, theories, improvements, designs, original works of authorship, formulae, processes, algorithms, data, inventions, know-how, techniques and any other information generated by ST&R prior to or under this Agreement, including all intermediate and partial versions thereof, as well as all documentation, program materials, charts, notes, outlines and the like that are created in connection therewith by ST&R (collectively, the "Work Product") whether or not related to the Licensed Services, and the copyright, patent, trademark, trade secret and all other proprietary rights in the Work Product and any derivative works created from the Work Product of ST&R will be ST&R's sole and exclusive property in perpetuity. Subscriber specifically agrees to cooperate with ST&R as reasonably required to confirm ST&R's exclusive ownership of the Work Product and related intellectual property rights.

GOVERNING LAW; JURISDICTION. The validity, construction and interpretation of this Agreement and the rights and duties of the parties shall be governed by and construed in accordance with the laws of the State of Florida, without regard to conflict of law provisions. Jurisdiction over any dispute arising in connection with this Agreement shall be vested exclusively in the courts of competent jurisdiction located in Miami-Dade County, Florida and the parties irrevocably submit the consent to such jurisdiction and venue.

DISCLAIMER. Subscriber understands and agrees that if it intends to act on the information obtained under this agreement in a way which would materially affect its business, Subscriber should seek specific advice from its professional consultant or attorneys.
